This Amendment No. 54 to Schedule 13D (this “Amendment”) relates to common shares, par value $0.01 per share (the “Holdings Common Stock”), of Sears Holdings Corporation, a Delaware corporation (“Holdings”). This Amendment amends the Schedule 13D, as previously amended, filed with the Securities and Exchange Commission by ESL Partners, L.P., a Delaware limited partnership (“Partners”), SPE I Partners, LP, a Delaware limited partnership (“SPE I”), SPE Master I, LP, a Delaware limited partnership (“SPE Master I”), RBS Partners, L.P., a Delaware limited partnership (“RBS”), ESL Investments, Inc., a Delaware corporation (“ESL”), and Edward S. Lampert, a United States citizen, by furnishing the information set forth below. Except as otherwise specified in this Amendment, all previous Items are unchanged. Capitalized terms used herein which are not defined herein have the meanings given to them in the Schedule 13D, as previously amended, filed with the Securities and Exchange Commission (“SEC”).

 

Item 4. Purpose of Transaction.

Item 4 is hereby amended and supplemented as follows:

“On July 13, 2017, in accordance with Section 2.02 of the Amended Second Lien Credit Agreement, the ESL Lenders entered into short-term line of credit loans (the “July Line of Credit Loans”) with the Second-Lien Borrowers pursuant to the terms of those certain Line of Credit Loan Proposals, dated as of July 13, 2017 (the “Line of Credit Loan Proposals”). The July Line of Credit Loans are in an aggregate principal amount of $200 million, have a maturity of 151 days and have a fixed interest rate of 9.75% per annum. In connection with the July Line of Credit Loans, the ESL Lenders executed that certain Line of Credit Lender Joinder Agreement, dated as of July 13, 2017, by and among the ESL Lenders and the Second-Lien Borrowers (the “Line of Credit Lender Joinder Agreement”).

The foregoing descriptions of the Line of Credit Loan Proposals and the Line of Credit Lender Joinder Agreement do not purport to be complete and are qualified in their entirety by reference to, respectively, (i) the Line of Credit Loan Proposal to JPP, LLC, filed as Exhibit 99.40 hereto and the Line of Credit Loan Proposal to JPP II, LLC, filed as Exhibit 99.41 hereto and each incorporated by reference herein, and (ii) the Line of Credit Lender Joinder Agreement, filed as Exhibit 99.42 hereto and incorporated by reference herein.

Additionally, in connection with the Amended Second Lien Credit Agreement, the ESL Lenders currently expect from time to time to enter into one or more additional short-term line of credit loans (each, a “Line of Credit Loan”) with any or all of the Second-Lien Borrowers, subject to applicable borrowing base limitations, in an aggregate principal amount of up to an additional $100 million. Also, the ESL Lenders may enter into other Line of Credit Loans made to refinance all or a part of the July Line of Credit Loans (each, a “Refinancing Line of Credit Loan”). Each subsequent Line of Credit Loan that the ESL Lenders elect to provide under the Amended Second Lien Credit Agreement will (i) have a maturity date between 7 and 179 days, (ii) have an aggregate principal amount outstanding at any time of no more than $100 million (other than with regard to any Refinancing Line of Credit Loans), and (iii) have a fixed interest rate of not less than 8.25% per annum.

The July Line of Credit Loans are, and any subsequent Line of Credit Loan will be, secured on a pari passu basis with Holdings’ existing obligations under the Amended Second Lien Credit Agreement, including the $300 million of Term Loans outstanding thereunder, and its obligations under the Indenture, pursuant to which Holdings issued its 6 5/8% Senior Secured Notes due 2018. The collateral includes inventory, receivables and other related assets of Holdings and the Second-Lien Borrowers, as applicable, that will be obligated on the July Line of Credit Loans and any subsequent Line of Credit Loans. Holdings’ obligations under the July Line of Credit Loans are, and any subsequent Line of Credit Loan entered into under the Amended Second Lien Credit Agreement will be, guaranteed by all domestic subsidiaries of Holdings that guarantee Holdings’ obligations under its existing revolving credit facility.

In connection with any subsequent Line of Credit Loan, the ESL Lenders will receive a line of credit loan proposal in a form substantially similar to those entered into in connection with the July Line of Credit Loans, filed herewith as Exhibit 99.40 and Exhibit 99.41, reflecting the terms of any subsequent Line of Credit Loan.”

Each Reporting Person declares that neither the filing of this statement nor anything herein shall be construed as an admission that such person is, for the purposes of Section 13(d) or 13(g) of the Act or any other purpose, (i) acting (or has agreed or is agreeing to act) with any other person as a partnership, limited partnership, syndicate, or other group for the purpose of acquiring, holding, or disposing of securities of Holdings or otherwise with respect to Holdings or any securities of Holdings or (ii) a member of any syndicate or group with respect to Holdings or any securities of Holdings.

As of the time of filing on July 17, 2017, the Reporting Persons may be deemed to beneficially own the shares of Holdings Common Stock set forth in the table below.

Ladies and Gentlemen:

Reference is made to that certain Second Lien Credit Agreement, dated as of September 1, 2016, as amended by that certain First Amendment to Second Lien Credit Agreement, dated as of July 7, 2017 (as such may have been further amended, modified, supplemented or restated, the “Credit Agreement”), by and among, among others, Sears Holdings Corporation, a Delaware corporation, Sears Roebuck Acceptance Corp., a Delaware corporation (“SRAC”), and Kmart Corporation, a Michigan corporation (“Kmart”), the lenders from time to time party thereto and JPP, LLC, a Delaware limited liability company, as administrative agent and collateral administrator thereunder. Capitalized terms used but not defined herein shall have the meanings set forth in the Credit Agreement.

In accordance with Section 2.02 of the Credit Agreement, SRAC hereby requests a Line of Credit Loan as follows:    

 

  1. On July 13th (a Business Day).

 

  2. In an aggregate principal amount of $173,734,000.

 

  3. With a maturity of December 11, 2017.

 

  4. With a fixed interest rate of 9.75% per annum.

 

  5. Such interest shall be payable monthly in arrears on the Line of Credit Loan Maturity Date

 

  6. The proposed Line of Credit Loan is to be funded in cash in an amount equal to $173,734,000.

SRAC hereby represents and warrants as follows:

 

  a. The representations and warranties made by each Loan Party in or pursuant to the Loan Documents are true and correct on and as of the date of the Line of Credit Loan requested herein in all material respects, before and after giving effect to such Line of Credit Loan and to the application of the proceeds therefrom, as though made on and as of such date, except to the extent that (A) such representations or warranties are qualified by a materiality standard, in which case they are true and correct in all respects, (B) such representations or warranties expressly relate to an earlier date (in which case such representations and warranties are true and correct in all material respects as of such earlier date), and (C) such representations relate to Section 5.01(f) of the Credit Agreement, in which case the representation is limited to clause (c) of the definition of “Material Adverse Effect”;

  b. No event has occurred and is continuing, or would result from the Line of Credit Loan requested herein or from the application of the proceeds therefrom, that constitutes a Default or an Event of Default; and

 

  c. The incurrence of the proposed Line of Credit Loan will not conflict with, constitute a default under or violate any of the terms, conditions or provisions of (i) the Indenture for the Existing Second Lien Notes, (ii) the Security Agreement, (iii) the Existing Intercreditor Agreement, (iv) the First Lien Credit Agreement, (v) the Letter of Credit Reimbursement Agreement, dated as of December 28, 2016, by and among Holdings, the Borrowers, certain financial institutions and Citibank, N.A. as administrative agent and issuing bank, as amended, modified, supplemented or restated and in effect from time to time, (vi) that certain Loan Agreement, dated as of January 3, 2017, by and among JPP, LLC, JPP II, LLC, the Borrowers and the other borrower parties thereto, as amended, modified, supplemented or restated and in effect from time to time, and (vii) that certain Receivables and Participation Purchase Agreement, dated as of June 15, 2017, by and among JPP, LLC, JPP II, LLC, Holdings, Kmart Operations LLC and Sears Operations LLC, as amended, modified, supplemented or restated and in effect from time to time.

 

  d. After giving effect to the proposed Line of Credit Loan requested herein, (A) the sum of the Total Extensions of Credit will not exceed the Borrowing Base, and (B) no Collateral Coverage Event (as defined in the Indenture for the Existing Second Lien Notes) shall result therefrom.

 

  e. Set forth below are the Borrowing Base and the Total Extensions of Credit as of July 12th, 2017, in each case after giving effect to the proposed Line of Credit Loan.

Total Extensions of Credit:    $2,416 millions

LINE OF CREDIT LENDER JOINDER AGREEMENT

This Joinder Agreement (this “Joinder”) is made as of July 13, 2017, by and among the undersigned (the “New Line of Credit Lender”), Sears Holdings Corporation, a Delaware corporation (“Holdings”), Sears Roebuck Acceptance Corp., a Delaware corporation (“SRAC”), and Kmart Corporation, a Michigan corporation (“Kmart”, and together with SRAC, the “Borrowers”), and JPP, LLC, a Delaware limited liability company, as administrative agent and collateral administrator under the Credit Agreement referred to below (the “Agent”), in consideration of the mutual covenants herein contained and benefits to be derived herefrom.

W I T N E S S E T H :

 

  A. Reference is made to that certain Second Lien Credit Agreement, dated as of September 1, 2016, as amended by that certain First Amendment to Second Lien Credit Agreement, dated as of July 7, 2017 (as such may have been further amended, modified, supplemented or restated, the “Credit Agreement”), by and among, among others, Holdings, the Borrowers and the Agent. Capitalized terms used but not defined herein shall have the meanings set forth in the Credit Agreement.

 

  B. The undersigned New Line of Credit Lender desires to become a party to the Credit Agreement, and to be bound by the terms of the Credit Agreement and the other Loan Documents, so that it may from time to time make Line of Credit Loans to the Borrowers on the terms set forth in the applicable Line of Credit Loan Proposal.

NOW, THEREFORE, the parties hereto hereby agree as follows:

 

1. Joinder and Assumption of Obligations. Effective as of the Joinder Effective Date (as defined below) and subject to the terms and conditions set forth in this Joinder and in the Credit Agreement, the New Line of Credit Lender acknowledges and agrees:

 

  a. to join in the execution of, and become a party to, the Credit Agreement as a Line of Credit Lender, as indicated with its signature below;

 

  b. to be bound by all representations, warranties, covenants, agreements, liabilities and acknowledgments of a Line of Credit Lender under the Credit Agreement and the other Loan Documents, in each case, with the same force and effect as if such New Line of Credit Lender was a signatory to the Credit Agreement and the other Loan Documents and was expressly named as a Line of Credit Lender therein;

 

  c. to have all rights and obligations of a Line of Credit Lender under the Credit Agreement and other Loan Documents.


2. New Line of Credit Lender Acknowledgement.

 

  a. The New Line of Credit Lender (i) confirms that it has received a copy of the Credit Agreement, together with copies of the financial statements referred to in Section 6.01 thereof and such other documents and information as it has deemed appropriate to make its own credit analysis and decision to enter into this Joinder; (ii) agrees that it will, independently and without reliance upon the Agent or any other Lender, and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under the Credit Agreement, including making or not making Line of Credit Loans from time to time; (iii) effective as of the date hereof, appoints and authorizes the Agent and the Collateral Agent to take such action as agent on its behalf and to exercise such powers under the Credit Agreement as are delegated to the Agent and the Collateral Agent by the terms thereof, together with such powers as are reasonably incidental thereto; (iv) effective as of the date hereof, agrees that it will perform in accordance with their terms all of the obligations which, by the terms of the Credit Agreement, are required to be performed by it as a Line of Credit Lender; and (v) specifies as its lending office (and address for notices) the office set forth beneath its signature below.

 

  b. The New Line of Credit Lender further acknowledges and agrees that the Agent and the other Credit Parties: (i) make no representations or warranties and assume no responsibility with respect to any statements, warranties or representations made in, or in connection with, the Credit Agreement or any other Loan Document or any other instrument or document furnished pursuant thereto or the execution, legality, validity, enforceability, genuineness, sufficiency or value of the Credit Agreement or any other Loan Document or any other instrument or document furnished pursuant thereto; and (ii) make no representation or warranty and assume no responsibility with respect to the financial condition of any Loan Party or the performance or observance by any Loan Party of any of their respective obligations under the Credit Agreement or any other Loan Document or any other instrument or document furnished pursuant thereto.

 

3. Conditions Precedent to Effectiveness. This Joinder shall become effective on the date (the “Joinder Effective Date”) when it has been duly executed by each of the parties hereto and the Agent has received counterparts hereof that, when taken together, bear the signatures of each of the other parties hereto.

 

4. Miscellaneous.

 

  a. This Joinder may be executed in multiple counterparts, each of which shall constitute an original and together which shall constitute but one and the same instrument. Delivery of an executed counterpart of a signature page of this Joinder by facsimile or in electronic (i.e., “pdf” or “tif”) format shall be effective as delivery of a manually executed counterpart of this Joinder.


  b. This Joinder expresses the entire understanding of the parties with respect to the transactions contemplated hereby. No prior negotiations or discussions shall limit, modify, or otherwise affect the provisions hereof.

 

  c. Any determination that any provision of this Joinder or any application hereof is invalid, illegal or unenforceable in any respect and in any instance shall not effect the validity, legality, or enforceability of such provision in any other instance, or the validity, legality or enforceability of any other provisions of this Joinder.

 

  d. The New Line of Credit Lender confirms that it has consulted with independent legal counsel of its selection in connection with this Joinder and is not relying on any representations or warranties of the Agent or the Lenders or their counsel in entering into this Joinder.

 

  e. THIS JOINDER SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO CONFLICTS OF LAWS PRINCIPLES THEREOF BUT INCLUDING SECTION 5-1401 AND 5-1402 OF THE NEW YORK GENERAL OBLIGATIONS LAW.
